Terms of Service
Please read these terms carefully before using Nexula's AI supply chain security platform.

1. Agreement to Terms
By accessing or using Nexula's platform, services, or APIs (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
These Terms constitute a legally binding agreement between you (individual or entity) and Nexula, operating from Nagercoil, Kanniyakumari, Tamil Nadu, India. Our Services are designed for business use and are governed by Indian law.
2. Services Description
Nexula provides AI-powered cybersecurity services including but not limited to:
- Software Bill of Materials (SBOM) generation and analysis
- Vulnerability detection and threat intelligence
- AI/ML model security scanning
- Container and registry security scanning
- License compliance and dependency analysis
- CERT-In compliance reporting
- Real-time security monitoring and alerts
- Multilingual security reports in 11+ Indian languages
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
3. Account Registration & Security
3.1 Account Creation
You must create an account to use our Services. You agree to provide accurate, current, and complete information during registration and keep it updated. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Eligibility
You must be at least 18 years old and have the authority to bind your organization to these Terms. By creating an account on behalf of an organization, you represent that you have such authority.
3.3 Account Security
You are responsible for all activities under your account. Notify us immediately of any unauthorized access or security breach. We recommend enabling multi-factor authentication (MFA) for enhanced security.
4. Acceptable Use Policy
You agree NOT to:
Misuse the Services
Use our Services for illegal activities, to harm others, or to violate any applicable laws including Indian cybersecurity regulations
Reverse Engineering
Attempt to reverse engineer, decompile, or extract our AI models, algorithms, or proprietary technology
Unauthorized Access
Access or attempt to access accounts, systems, or data that you are not authorized to access
Service Disruption
Interfere with or disrupt the integrity or performance of our Services or third-party systems
Data Scraping
Use automated tools to scrape, mine, or harvest data from our platform without authorization
Reselling Services
Resell, sublicense, or redistribute our Services without a written partnership agreement
5. Billing, Payment & Refunds
5.1 Subscription Plans
Our Services are offered under various subscription plans (Startup, Enterprise, Government). Pricing is displayed in Indian Rupees (INR) and may be subject to applicable taxes including GST.
5.2 Payment Terms
Payment is due in advance for the selected billing period (monthly or annually). You authorize us to charge your payment method automatically on each renewal date. Failure to pay may result in service suspension or termination.
5.3 Price Changes
We reserve the right to modify subscription prices with 30 days advance notice. Price changes will apply from your next billing cycle. You may cancel your subscription before the new pricing takes effect.
5.4 Refund Policy
Annual subscriptions are non-refundable except as required by Indian consumer protection law. Monthly subscriptions can be canceled at any time, with access continuing until the end of the current billing period. No refunds for partial months.
5.5 Professional Services
Custom implementation, training, compliance audits, and model fine-tuning services are quoted separately and governed by individual service agreements.
6. Intellectual Property Rights
6.1 Our IP
All intellectual property rights in the Services, including software, AI models, algorithms, documentation, and branding, are owned by Nexula or our licensors. You receive a limited, non-exclusive, non-transferable license to use the Services as permitted by these Terms.
6.2 Your Data
You retain ownership of all data, code, and content you submit to our Services ("Your Data"). You grant us a limited license to process Your Data solely to provide the Services and as described in our Privacy Policy.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about our Services become our property. We may use such feedback without any obligation to compensate you.
7. Data Processing & Privacy
Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:
- Your data is encrypted in transit (TLS 1.3) and at rest (AES-256)
- Indian customer data is stored in India per data localization requirements
- We comply with CERT-In directives and incident reporting obligations
- You maintain control over your data and can request deletion subject to legal retention
- We use Azure OpenAI and Sarvam.ai as AI service providers under strict data protection agreements
8. Service Availability & SLA
8.1 Uptime Commitment
We target 99.9% uptime for our Services (excluding scheduled maintenance). Detailed Service Level Agreements (SLAs) are provided to Enterprise and Government customers.
8.2 Maintenance
We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice to address security vulnerabilities or critical issues.
8.3 No Warranty
The Services are provided "as is" without warranties of any kind. While we strive for accuracy in vulnerability detection, no security tool is 100% accurate. You are responsible for your own security posture and remediation decisions.
9. Limitation of Liability
To the maximum extent permitted by Indian law:
- Nexula shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services
- Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not liable for security breaches caused by your failure to follow security best practices or for vulnerabilities you choose not to remediate
- We are not responsible for third-party services, integrations, or dependencies you choose to use
This limitation applies even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Nexula, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use or misuse of the Services, (b) your violation of these Terms, (c) your violation of any rights of third parties, or (d) Your Data submitted to our Services.
11. Termination
11.1 By You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
11.2 By Us
We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or engage in fraudulent or illegal activities. We may also terminate with 30 days notice for any reason.
11.3 Effect of Termination
Upon termination, your access to the Services will cease. You may export Your Data within 30 days of termination. After this period, we may delete Your Data as described in our Privacy Policy, except for data we must retain for legal compliance.
12. Dispute Resolution & Governing Law
12.1 Governing Law
These Terms are governed by the laws of India, specifically the Information Technology Act, 2000 and applicable Indian cybersecurity regulations, without regard to conflict of law principles.
12.2 Jurisdiction
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Kanniyakumari, Tamil Nadu, India.
12.3 Arbitration
For Enterprise and Government customers, disputes may be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, before resorting to litigation.
13. CERT-In Compliance & Incident Reporting
As required by CERT-In directives:
- We maintain logs of user activity and security events for 180 days minimum as per CERT-In requirements
- We will report cybersecurity incidents to CERT-In within 6 hours of detection as mandated by Indian regulations
- You agree to cooperate with security investigations and incident response activities
- Government customers must comply with additional CERT-In directives applicable to their sector
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or platform notifications at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the new Terms. If you disagree with the changes, you must stop using the Services and may cancel your subscription.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nexula regarding the Services.
15.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
15.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
15.4 Assignment
You may not transfer or assign these Terms without our written consent. We may assign these Terms without restriction.
15.5 Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service failures.
